Terms of Service

1. Acceptance of Terms

By accessing or using the Insiq AI platform, website, SDK, APIs, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, you must immediately stop using the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Definitions

  • "Customer" means the entity or individual who registers for an account and uses the Service.
  • "End User" means a user of the Customer's application whose prompt data is collected via our SDK.
  • "Prompt Data" means any text, metadata, or contextual information transmitted to or from a language model that is captured by our SDK.
  • "Analytics Data" means the classified, aggregated, and derived data produced by Insiq AI from Prompt Data, including intent classifications, service detections, sentiment scores, and trend analyses.
  • "SDK" means the Insiq AI software development kit integrated into the Customer's application.
  • "Dashboard" means the web-based analytics interface provided by Insiq AI.
  • "API" means the application programming interfaces provided by Insiq AI for programmatic access to Analytics Data.

3. Description of Service

Insiq AI provides a real-time analytics platform designed for applications that integrate large language models (LLMs). The Service includes:

  • A lightweight SDK for capturing Prompt Data from LLM-powered applications
  • A real-time classification engine that analyzes Prompt Data to extract intents, mentioned services, sentiment, and complexity metrics
  • A web-based Dashboard for visualizing Analytics Data, trends, and alerts
  • APIs for programmatic access to Analytics Data and exports
  • Alerting and notification systems for anomaly detection

The Service does not interact with, modify, or interfere with the Customer's LLM provider calls. The SDK operates asynchronously and does not add latency to the Customer's application.

4. Account Registration and Security

To use the Service, you must create an account by providing accurate, complete, and current information. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials, API keys, and SDK tokens
  • All activities that occur under your account, whether or not authorized by you
  • Notifying us immediately of any unauthorized access or security breach at security@insiq.ai

We reserve the right to suspend or terminate accounts with suspected unauthorized access. You must not share account credentials with third parties or create multiple accounts to circumvent usage limits.

5. Data Ownership and Licensing

5.1 Customer Data Ownership

You retain all rights, title, and interest in and to your Prompt Data and any data you submit to the Service. Insiq AI does not claim ownership of your data. Nothing in these Terms transfers ownership of your data to us.

5.2 License to Process

You grant Insiq AI a limited, non-exclusive, worldwide license to collect, process, store, and analyze your Prompt Data solely for the purpose of:

  • Providing the Service (intent classification, service detection, sentiment analysis, trend computation)
  • Generating Analytics Data and rendering it on your Dashboard
  • Maintaining and improving the accuracy of our classification engine

This license terminates when you delete your account or when your data retention period expires, whichever comes first.

5.3 Analytics Data

Analytics Data derived from your Prompt Data (e.g., aggregated intent distributions, service detection counts, sentiment trends) is owned by you and accessible via the Dashboard and API. You may export, download, and use Analytics Data for any lawful internal business purpose.

5.4 Aggregated and Anonymized Data

We may create aggregated, de-identified datasets derived from usage patterns across all customers (e.g., "email automation is the most common intent across the platform"). Such aggregated data will never identify you, your organization, or your End Users. We may use aggregated data to improve the Service, produce benchmarks, or publish industry insights.

5.5 No Sale of Customer Data

Insiq AI will never sell, rent, lease, or otherwise commercially distribute your Prompt Data or identifiable Analytics Data to third parties. This prohibition survives termination of these Terms.

6. Data Processing and Storage

6.1 Processing Location

Prompt Data and Analytics Data are processed and stored on secure infrastructure located in the European Union (EU). If you require data residency in a specific region, contact us to discuss Enterprise plan options.

6.2 Data Retention

  • Raw Prompt Data: Retained for the period specified in your plan (default: 90 days). You may configure a shorter retention period at any time.
  • Analytics Data: Retained for the duration of your subscription. Aggregated metrics may be retained for up to 3 years.
  • Account Data: Retained for as long as your account is active, plus 30 days after cancellation.

6.3 Data Deletion

Upon account cancellation or written request, we will delete your Prompt Data and Analytics Data within 30 days. Deletion is irreversible. Aggregated, de-identified data may persist as described in section 5.4.

6.4 Data Processing Agreement

Where required under GDPR or other applicable data protection legislation, we will enter into a Data Processing Agreement (DPA) with you. Our standard DPA is available upon request at legal@insiq.ai. The DPA forms an integral part of these Terms.

7. Customer Responsibilities

You are responsible for:

  • End User Consent: Ensuring that your End Users are informed that their interactions with your AI features may be analyzed for analytics purposes, and that you have the appropriate legal basis for this processing (e.g., legitimate interest, consent)
  • Privacy Policy: Maintaining a privacy policy that accurately describes your use of analytics services, including Insiq AI
  • Data Minimization: Configuring the SDK to avoid transmitting unnecessary personal data. You should not send sensitive personal data (health records, financial account numbers, government IDs) through the SDK unless you have explicit consent and appropriate safeguards
  • Compliance: Complying with all applicable laws, regulations, and industry standards related to data protection, privacy, and electronic communications
  • SDK Configuration: Properly integrating and maintaining the SDK according to our documentation

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to our systems, networks, or other customers' data
  • Interfere with, disrupt, or degrade the performance of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or its classification algorithms
  • Use the Service to build a competing product or service
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Transmit malware, viruses, or any other harmful code through the SDK
  • Use automated means to scrape, collect, or extract data from the Dashboard beyond what the API permits
  • Circumvent usage limits, rate limits, or access controls
  • Use the Service to profile, track, or surveil individuals without appropriate legal basis

Violation of these terms may result in immediate suspension or termination of your account.

9. Payment Terms

9.1 Plans and Pricing

The Service is offered under various plans as described on our website or as agreed in a separate order form. Pricing is subject to change with 30 days prior notice.

9.2 Billing

  • Paid plans are billed monthly or annually, in advance, as selected at sign-up
  • Usage overages beyond your plan's included volume are billed at the end of each billing cycle at the rate specified in your plan
  • All amounts are in Euros (EUR) unless otherwise agreed
  • Payments are processed by our third-party payment provider. We do not store credit card numbers

9.3 Late Payment

If payment fails, we will notify you and provide a 7-day grace period. If payment is not received within the grace period, we may suspend access to the Service. Continued non-payment for 30 days may result in account termination and data deletion.

9.4 Refunds

Fees are non-refundable except where required by applicable law. If you cancel a paid plan mid-cycle, you will retain access until the end of the current billing period.

9.5 Taxes

All fees are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for paying all taxes associated with your use of the Service, except for taxes based on Insiq AI' net income.

10. Service Level and Availability

We target 99.9% monthly uptime for our cloud-hosted Service, measured as the percentage of total minutes in a calendar month during which the Service is available. This excludes:

  • Scheduled maintenance (communicated at least 24 hours in advance)
  • Force majeure events
  • Issues caused by the Customer's infrastructure, SDK misconfiguration, or third-party services

For Enterprise customers, specific SLAs with remedies may be defined in a separate agreement.

11. Cancellation and Termination

11.1 Cancellation by Customer

You may cancel your account at any time through the Dashboard settings. Upon cancellation:

  • Your access to the Service continues until the end of the current billing period
  • Your Prompt Data and Analytics Data will be retained for 30 days, then permanently deleted
  • You may request an export of your data before the 30-day period expires

11.2 Termination by Insiq AI

We may suspend or terminate your account immediately if:

  • You materially breach these Terms and fail to remedy the breach within 14 days of notice
  • You engage in fraudulent, abusive, or illegal activity
  • Your account has been inactive for more than 12 months
  • Continued provision of the Service becomes commercially impractical or legally prohibited

11.3 Effect of Termination

Upon termination, all licenses granted under these Terms immediately cease. Sections 5 (Data Ownership), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

12. Intellectual Property

The Service, including its software, algorithms, classification models, SDK, APIs, documentation, design, branding, and all related intellectual property, is and remains the exclusive property of Insiq AI.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of any part of the Service.

"Insiq AI", the Insiq AI logo, and related marks are trademarks of Insiq AI. You may not use our trademarks without prior written consent.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • INSIQ AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS
  • INSIQ AI' TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO INSIQ AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM
  • INSIQ AI SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO MAINTAIN ACCURATE ACCOUNT INFORMATION, SECURE YOUR CREDENTIALS, OR COMPLY WITH THESE TERMS

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Insiq AI has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Insiq AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including End User privacy rights
  • Any Prompt Data transmitted through the SDK that infringes on third-party rights or contains unlawful content

15. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, pricing, technical data, customer lists, and product roadmaps.

Neither party shall disclose Confidential Information to third parties without the disclosing party's prior written consent, except as required by law or to professional advisors bound by confidentiality obligations. This obligation survives termination for a period of 3 years.

16. Third-Party Services

The Service may integrate with or reference third-party services (e.g., LLM providers, cloud infrastructure). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.

17. Modifications to the Service

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes. If a change materially reduces the functionality of a paid feature, you may cancel your subscription and receive a pro-rated refund for the remainder of your billing period.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before the effective date.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

19.2 Dispute Resolution

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

19.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any claims will be brought individually and not as part of a class action, collective action, or representative proceeding.

20. General Provisions

  • Entire Agreement: These Terms, together with any applicable DPA and order forms, constitute the entire agreement between you and Insiq AI regarding the Service
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: No failure or delay by Insiq AI in exercising any right shall constitute a waiver of that right
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets
  • Force Majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, epidemics, government actions, or infrastructure failures
  • Notices: Notices to Insiq AI must be sent to legal@insiq.ai. Notices to you will be sent to the email address associated with your account
